Fiscal Agent Agreement

This is an agreement between Oregon Trout, an Oregon non-profit corporation, and RiverFest, a river festival in Portland, Oregon, for Oregon Trout to act as a fiscal agent to RiverFest.

As fiscal agent, Oregon Trout agrees to:

1.  Lend its tax exempt status to RiverFest for the purposes of requesting sponsorship, grants and other contributions for RiverFest. Oregon Trout understands that it is the legal applicant for any grant, sponsorship or other contribution requested on behalf of RiverFest for which Oregon Trout is identified as the fiscal agent.

2.  Receive, hold and distribute funds on behalf of RiverFest as needed, via a checking account at Wells Fargo Bank dedicated exclusively to RiverFest activity.

3.  Distribute funds to RiverFest or any payee designated by RiverFest within 10 days of receiving written instruction (email, fax or letter), by check, EFT, or other means.

4.  Maintain accurate accounting of RiverFest financial activity.

5.  Present an income statement and copy of RiverFest checking account statement to the RiverFest Committee on a monthly basis.

6.  Provide 501(c)(3) status letters, tax identification number, financial statements, and any other documents that may be required to secure sponsorship, grants or other contributions from organizations that require a fiscal agent.

RiverFest agrees to:

1.  Prepare and manage any and all applications and proposals for sponsorship, grants or other contributions.

2.  Acknowledge Oregon Trout as a sponsor for RiverFest on all publicity connected with the festival.

3.  Inform Oregon Trout immediately of any changes in the proposed festival.

4.  Supply all necessary information for reporting and accounting.

Term of Agreement

This agreement shall become effective upon full execution, and remain in effect for 90 days following the conclusion of the festival, currently scheduled for on or around September 7, 2008. In any event and under any circumstance, this agreement shall terminate no later than December 31, 2008 unless extended in writing by both parties. Upon termination of agreement, Oregon Trout agrees to transfer all remaining funds from the RiverFest checking account, if any, and all financial records to RiverFest or an agent designated by RiverFest.

Early Termination

Either party may terminate this agreement at any time for any reason with thirty days written notice to the other party. Upon receipt of notice of early termination, RiverFest agrees to secure a new fiscal agent within 20 days. Upon receipt of notice of early termination, Oregon Trout agrees to transfer all remaining funds from the RiverFest checking account, if any, and all financial records to RiverFest or an agent designated by RiverFest.

Fees and Notices

Oregon Trout will not charge RiverFest any administrative fee(s) for its services as fiscal agent pursuant to this agreement. RiverFest agrees to reimburse Oregon Trout for direct costs associated with its role as fiscal agent, including but not limited to bank fees, credit card fees, postage, duplication, and long distance charges. Oregon Trout will make a detailed accounting of any direct costs incurred as part of its monthly report to the RiverFest Committee.
