73   1) Credit Card and Non-PIN Debit Processing Fees include applicable interchange fees (Visa and MasterCard), dues and assessments and other          
74   pass-through costs.          
75   2) Client acknowledges and understands that an authorization only indicates the availability of the Cardholder's credit at the time the authorization          
76   is requested. It does not warrant that the person presenting the card is the rightful Cardholder, nor is it an unconditional promise or guarantee          
77   that Client will not be subject to a chargeback or debit.          
78   3) Authorization/EDC Fee applies to all Visa and MasterCard approval (pre-authorizations and authorizations), denials, batch inquiries, batch          
79   entry transactions and includes any transaction fees and capture fees.          
80   4) The Annual Compliance Support Fee will be assessed and deducted from your Settlement Account at each anniversary date after the effective          
81   date.          
82   5) A MasterCard Cross-border or Visa International Service fee is any transaction in which Client’s country of domicile differs from the country          
83   where the card was issued.          
84   6) The monthly Statement Billing Fee can be waived if Client elects to access the monthly statement online instead of receiving a paper copy          
85   by mail. Please visit myclientline.net to enroll. After ClientLine has been activated, please contact Customer Service at 1-800-451-5817 to          
86   request that paper statements no longer be mailed.          
88   If Client has selected to accept TeleCheck Services, see Section 36 of the Program Guide for the terms and conditions. If applicable, the          
89   Additional Services page will contain the fees and rates billed to Client by TeleCheck.          
91   If Client does not follow proper authorization procedures, a $50 chargeback handling fee will be assessed on MasterCard transactions.          
93   Client is responsible for any charges assessed by outside third parties that are not disclosed on the proposal. To the extent that this pricing          
94   proposal includes pricing for third party products and services, WFMS disclaims legal liability and responsibility for said products and          
95   services. Client's agreement with the third party provider shall govern Client's relationship with the third party provider. In the event that          
96   WFMS is billed for the third party's services, Client will reimburse WFMS for such services.          
98   Client acknowledges and understands that WFMS shall have no responsibility or liability for any third party hardware or software procured and          
99   used by Client. To the extent Client has any issues, concerns or liability related to such hardware or software, Client must deal directly with          
100   the third party provider from whom Client procured the hardware or software. In no event will WFMS be responsible for any indirect,          
101   incidental or consequential damages that Client may incur as a result of using any third party hardware or software.          
103   WFMS' proposal and associated pricing is based on the information provided. Any difference to our stated understanding may affect the          
104   proposed pricing. Without a signed agreement, this proposal expires 60 days from the proposal date stated above.
