ORDINANCE No. 178330

* Authorize a Software License Agreement with HCKM LLC, dba Oregon Dispatch Service, through December 1, 2007 to provide access to software and hardware services for Washington County (Ordinance)

The City of Portland ordains:

Section 1. The Council finds:

1.  The City has developed and owns software known as the Tow Desk Application (Software). The Software is a database used to collect and organize information pertaining to performance of the City’s Contract for Vehicle Towing and Storage.

2.  HCKM LLC, dba Oregon Dispatch Service (Licensee) currently is working under contract with the City to provide towing dispatch and data services to the City for the Contract for Vehicle Towing and Storage. Pursuant to its Contract with the City, Licensee has access to the Software. Also pursuant to that Contract, the City has provided certain other software and hardware to Licensee.

3.  Licensee seeks a license from the City to access the Software, and certain other software and hardware to provide services to Washington County.

4.  The City is willing to issue a license to Licensee to access the Software strictly for the purposes of providing the services required by Licensee to serve Washington County, and no other purpose, and to allow Licensee to use that certain other software and hardware as listed on the Schedule in the Software Licensing Agreement.

NOW, THEREFORE, the Council directs:

a.  That the Commissioner of Public Safety is authorized to execute the Software Licensing Agreement with HCKM LLC, dba Oregon Dispatch Service through December 1 2007 in a form substantially similar to that attached hereto as Exhibit 1.

Section 2. The Council declares that an emergency exists because delay in authorizing this Software Licensing Agreement would delay delivery of services by HCKM LLC, dba Oregon Dispatch Service; to Washington County; therefore, this ordinance shall be in full force and effect from and after its passage by Council.
