 AMENDMENT # 2 TO THE AGREEMENT FOR SERVICES

 Amendment to the Contract

 (CONTRACT NO.33806)

WHEREAS, The City of Portland, Oregon (OWNER) and EDAW, INC. (CONTRACTOR) entered into a CONTRACT dated August 17, 2001 to provide the required services for the OWNER'S program hereinafter referred to as the CONTRACT.

NOW THEREFORE, in consideration of the mutual promises and covenants contained in the CONTRACT, it is mutually agreed to amend the CONTRACT as follows:

1.  To provide for additional services in the amount of $7,500.00 for services beyond the original scope of work. These services include: (1) additional time to review and revise the master plan's recommendations, and (2) more information on implementation costs.

2.  An increase in project duration, with completion of the plan by March 2003, rather than October 2002.

All other terms and conditions of the previously amended CONTRACT remain in full force and effect.
