AMENDMENT No. 2 TO CONTRACT No. 32984

BETWEEN THE CITY OF PORTLAND, OREGON, AND

MONTGOMERY WATSON HARZA ENERGY AND INFRASTRUCTURE, INC.,

(Formerly HARZA ENGINEERING COMPANY, INC.)

DAM 2 TOWER IMPROVEMENTS PROJECT #3364

In consideration for their mutual promises, the parties agree as follows:

1.  The AGREEMENT FOR PROFESSIONAL, TECHNICAL OR EXPERT SERVICES (Exhibit A) of the contract is for the job identified as Dam 2 Tower Improvements Phase II and Phase III. The Contractor shall provide the services to the City according to the scope of work, schedule and fees as specified in the attached submittal, “Selected Improvements – Preliminary Scope of Work for Services” dated October 1, 2002.

2.  The COMPENSATION for the project identified as Dam 2 Tower Improvements Phase II and Phase III is on a time and materials basis, the total sum of which is not to exceed $300,000. This contract has been reviewed by the Bureau and is considered reasonable and proper compensation for the work to be completed. Terms and schedule of payments shall be outlined in Exhibit A.

3.  The Project Manager, for the project identified as Dam 2 Tower Improvements Phase II and Phase III, shall be Richard Seright, E.I.

4.  The effective date of this amendment to this contract shall be on November 1, 2002 (or on the date at which every party has signed this amendment, whichever is later). This contract shall expire, unless otherwise terminated or extended, on June 30, 2005.

5.  All other terms and conditions of Contract No. 32984 remain the same.
