LEGAL SERVICE AGREEMENT

 Agreement Dated: August 03, 2001

The City requires the services of Miller & Van Eaton (outside legal counsel) to provide advice on legal issues pertaining to challenges against City Charter and City Code regulations brought by Qwest Corporation. providing legal advice on issues related to well field protection and clean up.

Due to the complexity of the issues and the magnitude of the case, expenditures for outside counsel will exceed that previously authorized by Council. It is necessary to extend the legal services agreement in the amount of $75,000 in order to authorize and continue payment.

Legal Services Agreement No. 33776, dated August 03, 2001, is revised as follows:

1.  Total compensation plus reimbursement under this agreement is increased by $75,000 with this addendum.

2.  All terms and conditions contained in Legal Services Agreement No. 33776 shall remain in effect.
