AMENDMENT NO. THREE TO INTERAGENCY AGREEMENT

BETWEEN PORTLAND DEVELOPMENT COMMISSION

AND PORTLAND OFFFICE OF TRANSPORTATION

This Amendment No. Three, by and between the Portland Development Commission and the Portland Office of Transportation amends that certain interagency agreement between the Portland Development Commission (“PDC”) and the Portland Office of Transportation (“Bureau”) dated July 15, 2002 as previously amended (the “Agreement”). A copy of the original Agreement is attached hereto.

Pursuant to Section II(7), the Agreement is hereby amended as follows:

1.  Section II Scope of Services shall include the following new items:

Scope A-19: Old Town/Chinatown, 3^rd and 4^th Avenue Streetscape Plan Design and Engineering; Further described in Attachment A-19, attached hereto.

Scope A-20: Lents Town Center Neighborhood Traffic Safety Improvements; Further described in Attachment A-20, attached hereto.

Section II Scope of Services shall be amended to include an increase authorized funding amount of $11,000 the following:

Scope A-15: Lents Town Center Residential Street Improvement Program Phase III; Further described in Attachment A-15, attached hereto.

2.  Section V Compensation / Allowable Costs Subsection A shall be replaced with the following language:

“The Portland Development Commission shall pay to the Office of Transportation a sum not to exceed SEVEN MILLION SIXTY THOUSAND ONE HUNDRED NINTEEN DOLLARS ($7,060,119) for accomplishment of the Work identified in Section II-A above.”

3.  All remaining provisions of the Agreement shall remain unchanged and in full force and effect.
