ADDENDUM #3 TO

LEGAL SERVICES AGREEMENT NO. 33228

 DATED: October 18, 2000

The City contracted with Outside Legal Counsel to assist in legal matters pertaining to IRNE. In order to authorize additional work and to continue payment, Legal Services Agreement No. 33228, dated February 11, 2000 shall be revised as follows:

1.  Due to the nature of the project, and the potential for litigation, outside counsel will be required to provide more legal assistance than originally anticipated. Because of these additional responsibilities, it is estimated that an additional $100,000 will be required to pay for these additional services. The compensation shall be increased to a total not to exceed $249,500.

2.  All other terms and conditions contained in Legal Services Agreement No. 33228 shall remain the same.
