THE CITY OF PORTLAND

The City of Portland, Communications and Networking and W&H Pacific, hereby enter into this Amendment #1 to the Agreement for Professional, Technical, or Expert Services, Contract #33589 executed by the City of Portland on May 24, 2001.

Purpose of this Amendment. The City of Portland and W&H Pacific desire to amend the Underlying Agreement to increase the total consideration to $250,000 per year.

AGREED

1.  The Consideration section of the subject Agreement is changed to read as follows:

(a)  City agrees to pay Contractor a sum not to exceed $250,000 per year for accomplishment of the work.

2.  Except as stated herein, all other terms and conditions of the underlying agreement apply to this Amendment #1.

3.  The parties hereby execute and authorize this Amendment #1 to be effective as of the latest signature date shown below.
